Terms and Conditions of Use

These terms and conditions of use (“Terms of Use”) govern the use of the online interfaces and properties owned by PinkBridge LLC, including the website pinkbridge.com and any PinkBridge mobile applications (the “Site”), and the services accessible to users through the Site. PinkBridge LLC (“PinkBridge,” “we,” “us,” “our”) contracts with PinkBridge PC and other independent professional practices (each, a “Practice”) to support the professional services provided by the Practice’s licensed healthcare providers (“Providers”) to their patients. The professional healthcare services provided by a Practice and its Providers, and the non-clinical online interfaces, software and properties provided by PinkBridge, are collectively referred to in these Terms of Use as the “Services.”

Important Information

You should carefully read these Terms and Conditions of Use Agreement (“Agreement”). Your use of our website and our Services implies that you have read and accepted these Terms of Use. The term “you” refers to both yourself and any other individual using your PinkBridge account. The access rights provided to you in this Agreement cannot be transferred to others without the explicit written permission of PinkBridge. You hold the responsibility for the actions taken by any individual who utilizes your access to the Site or Services.

Your agreement to and adherence with these Terms of Use is essential for utilizing the Site and Services. By using the Services, you confirm that you are at least eighteen (18) years old and possess the necessary legal capacity and competence to agree to and comply with all the terms, conditions, obligations, affirmations, representations, and warranties outlined in this Agreement. You acknowledge that you have thoroughly read, understood, and fully accepted these Terms and Conditions, as well as our Privacy Policy, without any limitations or reservations.

If you do not agree to abide by this Agreement, please refrain from using the Services and exit now.

The Terms of Use establish that any disputes between you and PinkBridge relating to these Terms of Use, or your use of the Site, will be resolved through Binding Arbitration. By agreeing to these Terms, you are relinquishing your right to bring a legal action in court (including participating in a class action lawsuit) to assert or defend your rights under these Terms of Use. Your rights will be determined by an impartial arbitrator rather than a judge or jury, and you agree not to bring your claims as part of a class action.

You agree that any suit, action or proceeding between you and PinkBridge in connection with or arising from this Agreement (each, a “Judicial Action”) shall be governed by the law of the state of residence of the registered Administrative Contact (the “Admin State”) for the Services as such laws are applied to agreements between Admin State residents entered into and performed entirely within the Admin State. You consent to the jurisdiction of federal and state courts within the Admin State. You consent to the venue in any Judicial Action brought against you in connection with breaches of this Agreement. You consent to electronic service of process regarding any Judicial Action under this Agreement.

Introduction

The following Terms and Conditions govern all use of the PinkBridge Site and Services. All the content, products and Services accessible through the Site are provided under the condition of your acceptance, without any modifications, of all the terms and conditions outlined in this Agreement, as well as the other policies that form part of it:

You must thoroughly read and understand this Agreement before accessing or utilizing the Services. If you do not agree to all terms and conditions of this Agreement, you are not authorized to use the Services and must immediately discontinue using this Site.

Services We Offer

PINKBRIDGE IS NOT ENGAGED IN THE PRACTICE OF MEDICINE OR PHARMACY AND IS NOT A HEALTHCARE PROVIDER. PINKBRIDGE DOES NOT PROVIDE MEDICAL CARE OR MEDICAL ADVICE.

The Site lets you request an online skin assessment and, if a Provider decides it is appropriate, receive a prescription skin care plan. The Services work as follows:

Use of AI. We tell you that AI software is used in the Services before you start your assessment. The software supports Providers; it does not diagnose conditions or prescribe treatment on its own. Every treatment decision is made, and every prescription is authorized, by a licensed Provider, who is responsible for that decision. If you have questions about how the software was used in your care, you can ask your Provider through your account.

Compounded medications. Formulas prescribed through the Services may be compounded, meaning prepared by a licensed pharmacy for an individual patient. Compounded medications are not approved by the U.S. Food and Drug Administration (FDA), and the FDA does not review them for safety, effectiveness or quality before they are dispensed. A compounded formula is not the same as, or a generic version of, any FDA-approved brand-name product. PinkBridge does not manufacture, compound or dispense medications.

Availability. The Services are available only to people who are physically located, at the time of their assessment and check-ins, in a state where a Practice has a Provider licensed to provide the Services. We will tell you during the assessment if the Services are not available where you are. We cannot guarantee that a Provider will accept your request, that you will receive a diagnosis or prescription, or that any particular treatment will be available to you.

The content provided on this Site, including text, photographs, graphics, illustrations, video, and other visuals, is solely for informational and educational purposes. Using the Site alone does not create a patient-provider relationship; that relationship begins only when a Provider accepts you as a patient. The content on this Site is not intended to suggest self-management of health issues, nor does it endorse or recommend any specific medical treatment for any specific medical condition. The Services are not for emergencies or urgent conditions. In an emergency, call 911 or go to the nearest hospital emergency department. If you have a severe reaction to a prescribed formula, stop using it and seek medical care.

PinkBridge Is Not a Healthcare Provider

PinkBridge contracts with each Practice to provide technology, software, and administrative and business services. PinkBridge is in no way intended to create a provider-patient relationship as defined by state or federal law. The provider-patient relationship is between you and the Practice’s Provider. Providers are employed or contracted by the Practice, an independent professional entity. The Provider with whom you establish a treatment relationship is solely responsible for the care delivered to you. Please contact your Provider or the Practice through your account if you have questions about your care.

THE SERVICES ARE AVAILABLE ONLY TO INDIVIDUALS WHO ARE AT LEAST EIGHTEEN (18) YEARS OLD. If you are not yet eighteen (18) years old, you must stop using the Services and immediately discontinue using the Site.

Your Responsibilities as a Patient

You agree to give complete and accurate information about yourself, your health history, your medications and allergies, your location, and whether you are pregnant, breastfeeding or planning a pregnancy, and to update it when anything changes. Your photos must be of you. Providers rely on this information; inaccurate or incomplete information can lead to inappropriate treatment. You agree to use any prescribed formula only as directed, to read the instructions that come with it, to complete your check-ins, and to tell your Provider promptly about side effects or changes in your skin. If you provide false information, including about your age, identity, location or medical history, we or the Provider may decline or stop the Services, and you will not be entitled to a refund for formulas already prepared.

Prices, Payments and Refunds

PINKBRIDGE DOES NOT ACCEPT HEALTH INSURANCE AS A PAYMENT METHOD FOR ANY SERVICE.

You pay for each order. If a Provider prescribes a formula, we will show you the price of the order, including the formula, shipping and applicable taxes, before you confirm it. You are charged when you place the order. By placing an order, you authorize PinkBridge, on behalf of the Practice and the pharmacy, to charge the payment method you provide for the amount shown. We do not collect or store your full credit or debit card information; we use third-party services to process your payment, and your payment information goes directly to the payment processor. We shall not be held accountable for any errors made by the payment processor or your card issuer.

It is your responsibility to ensure that the payment method you provide remains valid and has sufficient funds to cover the charges. Prices may change; the price that applies to an order is the one shown when you place it.

Because each formula is prepared for you individually, and dispensed prescription medications cannot be returned to a pharmacy, orders cannot be cancelled or refunded once the pharmacy has begun preparing them, except as described in our Orders, Cancellations and Refunds policy.

Privacy of the Personal Information Collected from You

You acknowledge and agree that information provided by you to us through the Site and Services will be handled in accordance with the PinkBridge Privacy Policy and Consumer Health Data Privacy Policy, which are part of this Agreement. Clinical information provided by you to the Providers will be handled by the Practice according to the Notice of Privacy Practices, which is part of this Agreement as well.

Rights and Responsibilities of Users

You acknowledge and agree that PinkBridge has proprietary rights in the Services, Content, Site and software, including, but not limited to, data, design, function, graphics, images, logo, files, media, and any video and audio information you can access through PinkBridge. In rare instances there may be Content that carries errors and inaccuracies. PinkBridge will correct inaccurate or missing information as required by law when we become aware of it.

In rare cases when you find content inaccurate, with typographical errors, or any other mistakes, we encourage you to report such occurrences to PinkBridge. We will review such reports and decide if a correction is necessary.

You acknowledge and consent that inquiries, feedback and suggestions you provide to us about the Services shall be the exclusive property of PinkBridge, and we may use them for commercial and other purposes. This does not apply to your health information, which is handled as described in the Privacy Policy, the Consumer Health Data Privacy Policy and the Notice of Privacy Practices.

You acknowledge and agree that PinkBridge grants you, as a User, access to the technology and intellectual property owned by PinkBridge or its third-party licensors. This access is limited and non-transferable. You agree to use this access for its intended purposes and in compliance with this Agreement.

You agree that your use of the Services will comply with all relevant federal and state laws and regulations, and will not violate or unlawfully appropriate the intellectual property rights of any third party.

Intellectual Property and Copyright Infringement

User acknowledges that PinkBridge has proprietary rights in the Services and Content. We ask our users to respect PinkBridge’s proprietary rights. The PinkBridge logo, slogans, taglines, domain, all other trademarks, graphics, and service marks associated with the Services are either trademarks or registered trademarks owned by PinkBridge or third parties. Your use of the Services does not confer any rights or licenses for the reproduction or usage of any of our trademarks or the trademarks of third parties. You may not remove or alter any copyright, trademark, logo, or any other material visible on this Site.

If you believe that any content found on the Services, or content linked to by the Services, infringes upon your copyright, we encourage you to notify PinkBridge. We will promptly address all such notifications and, if necessary and appropriate, take actions, such as removing the infringing materials or disabling links to them. If a visitor is found to be infringing upon copyrights or other intellectual property rights of PinkBridge, we may terminate or deny their access to and use of the Services.

Data Gathering & Site Management and Improvement

By using our Services, you give PinkBridge permission to copy and use the information you send or enter while using the Services, including personally identifiable information, to provide the Services, as described in our Privacy Policy. It is important that the information you transmit is truthful and complete.

We may use information from the Services to improve the Site, the Services and our software, including the software that prepares draft plans. When we use patient information, including photos, to improve our software, we first de-identify it, as described in our Privacy Policy.

PinkBridge makes every attempt to be as accurate and precise as possible. However, PinkBridge does not warrant that content on the Site or any product description is 100% accurate, complete, and error-free.

By using the Services, you consent to having your Internet Protocol (IP) address recorded. While it is impossible to guarantee absolute security for any computer system, PinkBridge is continuously dedicated to enhancing our security measures. Please review our Privacy Policy.

We may modify any part of this Agreement. If we make material changes, we will post the updated Agreement with a new “Last updated” date and, where required by law, notify you by email or through your account. By using or accessing the Services after any modifications to this Agreement are posted, you indicate your acceptance of those changes.

We may suspend your access to the Services, with or without cause and with or without prior notice. If we do, we will make reasonable efforts to let you know how to reach your Provider or obtain your records, so that your care is not interrupted without notice. If you wish to end this Agreement, you can do so by ceasing your use of the Services. Even after termination, all terms of this Agreement will remain in effect, including ownership rights, warranty disclaimers, indemnification, and limitations of liability.

Visitor’s Use/Abuse and Restrictions

User agrees to adhere to the following guidelines:

a) Use the Services strictly for lawful purposes, and only for yourself

b) Do not violate the security of the Services or use the Services to breach the security of other websites through any means

c) Do not upload or distribute files that contain viruses, corrupted files, or any other similar programs that could harm the functioning of the Services or another person’s computer

d) Do not remove or alter any proprietary notice of PinkBridge or its licensors

e) Do not upload or post any material that is unlawful, harassing, harmful, or hateful, or photos of anyone other than yourself

f) Do not engage in any of the following activities: harvesting, copying, modifying, attempting to derive the source code, disassembling, storing, transferring to a third party, selling, leasing, or creating derivative works of the Services, Content, or technology, either in whole or in part, without written approval from PinkBridge

g) Do not resell, share or give to anyone else any formula prescribed for you

User acknowledges that any violation of these guidelines will be considered a breach of this Agreement. PinkBridge reserves the right to seek equitable relief and to take appropriate actions, including suspension or cancellation of the Services.

User’s Account

By using this Site, you accept responsibility for safeguarding the confidentiality of your account and password. You also agree to restrict access to your devices and acknowledge that you will be held accountable for any activities conducted under your account. Tell us right away at contact@pinkbridge.com if you believe someone else has accessed your account.

Disclaimer of Warranties

PinkBridge and the Practice each retain authority over the operation of the Site and the Services, and may discontinue, change, or delete any feature, communication, information, or functionality of the Site or the Services. PinkBridge and the Practice are not responsible for transmission errors, corruption, or compromise of information that is beyond their reasonable control. PinkBridge may delete or destroy information on the Site or the Services in accordance with applicable law and records-retention requirements. While we strive to maintain the accuracy of the Site and Service descriptions, PinkBridge does not provide any representations, warranties, or guarantees regarding the correctness or accuracy of the Site content or Service descriptions. The Service is provided “as is” and “as available.” To the extent permitted by law, PinkBridge does not provide any warranties, whether express, implied, or statutory, with respect to the Services, and we explicitly disclaim all other warranties, including warranties that the Services will satisfy your requirements or operate uninterrupted or error-free. This includes implied warranties or representations on conditions of accuracy, likely results, reliability, merchantability, fitness for a specific purpose, or non-infringement of intellectual property or any other violation of rights, including any other sites linked to or on the Services.

Even though PinkBridge will implement reasonable security measures, User acknowledges and agrees that electronic communication may contain errors and may be subject to break-ins.

Non-Human Traffic Restrictions

Any web spiders, bots, indexers, robots, crawlers, harvesters, or any other computer programs designed to access, read, compile, or gather content from the Services automatically shall be considered non-human visitors (“Non-Human Visitors”). Any Non-Human Visitors using the Site or Services shall be considered extension(s) of the individual(s) who control, author, or otherwise make use of such Non-Human Visitors. Individuals shall be deemed responsible for the actions of their Non-Human Visitors in the same manner as if they personally visited the Site or Services. Email addresses on the PinkBridge Site and Services are considered proprietary intellectual property. It is recognized that these email addresses are provided for human visitors only. Intentional collection, harvesting, gathering, and/or storing of the Services’ email addresses is recognized as a violation of this Agreement and expressly prohibited.

Links to Other Websites

The PinkBridge Site may offer links to external services. We do not assume responsibility for the content of any linked site, the links within that site, or any changes made to those sites. Additionally, we cannot be held accountable for any other form of transmission received from linked sites. These links are provided solely for your convenience, and their inclusion does not signify our endorsement of the linked sites. If you have any concerns or inquiries regarding a particular link, please reach out to the relevant third-party website.

Disclaimer

TO THE EXTENT PERMITTED BY LAW, THIS SITE AND THE MATERIALS ON THIS SITE ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND. PINKBRIDGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF SUITABILITY FOR A CERTAIN PURPOSE AND NON-INFRINGEMENT.

THE INFORMATION ON THE SITE IS INTENDED TO BE A GENERAL INFORMATION RESOURCE ONLY. IT DOES NOT CONSTITUTE MEDICAL ADVICE AND IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE OR TREATMENT. DRAFT PLANS PREPARED BY PINKBRIDGE’S SOFTWARE ARE TOOLS FOR PROVIDERS AND ARE NOT MEDICAL ADVICE. MEDICAL ADVICE, DIAGNOSES AND PRESCRIPTIONS COME ONLY FROM YOUR PROVIDER. INDIVIDUAL RESULTS VARY, AND NO PARTICULAR RESULT IS GUARANTEED.

PINKBRIDGE DOES NOT WARRANT THAT THIS SITE WILL BE FREE FROM ERRORS AND OMISSIONS, CONTINUOUSLY OPERATING, OR FREE OF MALFUNCTIONS, OR THAT ANY CORRESPONDENCE SENT TO YOU FROM THE SITE OR SERVICES WILL BE FREE FROM VIRUSES OR HARMLESS TO YOUR COMPUTER.

PINKBRIDGE HAS A RIGHT TO CORRECT OR UPDATE INFORMATION ON THE SITE AT ANY TIME AND WITHOUT PRIOR NOTICE.

Limitation of Liability

To the extent permitted by law, in no event will PinkBridge LLC, or any of its members, managers, employees, or independent contractors, be liable to User or any third party for any indirect, incidental, special, consequential or punitive damages, lost profits, or business interruption resulting from the use of or inability to use the Site, its content, or any third-party content available through the Site, even if PinkBridge LLC has been advised of the possibility of such damages. Nothing in this Agreement limits any liability that cannot be limited under applicable law, or the professional responsibility of a Provider or pharmacy for the care or medication they provide.

Indemnification

As a condition of using the Services, you agree to indemnify, hold harmless, and defend PinkBridge LLC, its members, managers, employees, and independent contractors (“Indemnified Parties”) from any and all costs, liabilities, and damages (including reasonable attorney’s fees) that may arise from or be related to any third-party claims arising from: a) your misuse of the Services, b) your failure to comply with applicable laws and regulations, or c) your breach of any obligations stated in these Terms and Conditions. You must not settle any claim without obtaining prior written consent of the relevant Indemnified Party. This provision is in addition to other provisions in the Agreement and is not meant to limit their scope or effect.

Electronic Communications, Text Messages and Social Media

When you use the Site or correspond with us, you are engaging in electronic communication with us. By doing so, you consent to receive communications from us electronically, including emails, text messages, and notices in your account. You agree that all agreements, notices, disclosures, and other communications provided to you electronically fulfill any legal requirement for written communication.

Text messages. If you give us your mobile number and agree to receive text messages, we and the Practice may send you recurring text messages about your account, orders, shipping, check-ins and care. We will send marketing text messages only if you separately agree to receive them, and that agreement is not a condition of using the Services. Message frequency varies. Message and data rates may apply. Reply STOP to stop receiving messages and HELP for help. Wireless carriers are not liable for delayed or undelivered messages. Text messages are not a secure channel; we will not include detailed health information in them.

Social media. PinkBridge has public pages on social media sites. When using social media sites operated by others, you are expected to follow their rules of conduct and abide by their terms of use. Please do not post your own or anyone else’s health information on our social media pages; for questions about your care, use your account. By accessing, viewing, or posting any content related directly or indirectly to PinkBridge on any social media site, you agree:

1. Not to post any content that is personal in nature and relates to other patients who use PinkBridge Services.

2. Not to: (a) violate any local, state, federal and international laws and regulations, including but not limited to copyright and intellectual property rights laws; (b) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; or (c) collect or store, or attempt to collect or store, personal data about third parties without their knowledge or consent.

3. Not to transmit any material (by uploading, posting, email or otherwise): (a) that is unlawful, disruptive, threatening, profane, abusive, harassing, tortious, defamatory, obscene, libelous, or an invasion of another person’s privacy, or is hateful or racially, ethnically or otherwise objectionable; (b) that is unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes” or any other form of solicitation; or (c) that contains software viruses, worms, disabling code, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

4. That by posting content on our social media pages, you give PinkBridge a license to reproduce, display, and publish that content. We will ask for your written permission before using your name, photos or story in our own advertising.

Managing or Deleting Your Account

You may review, update, or modify your account information, including profile and contact information, at any time by logging into your account. You may ask us to close your account by contacting us. Medical records created by a Practice must be kept for the period required by law even after your account is closed; see our Privacy Policy and the Notice of Privacy Practices.

Unsubscribing from Email Marketing

You may unsubscribe from our promotional emails at any time by following the instructions included in those emails. If you opt out of receiving such communications, we may continue to send you non-promotional messages (for example, order confirmations, shipping updates, check-in reminders and messages from your Provider).

CAN-SPAM Act and Telephone Consumer Protection Act Compliance

PinkBridge conducts its operations in compliance with the Controlling the Assault of Non-Solicited Pornography and Marketing Act (“CAN-SPAM Act”) and the Telephone Consumer Protection Act (“TCPA”). If you believe that you received something from us which is not fully compliant with the CAN-SPAM Act or the TCPA, please contact us immediately using the contact information below.

Termination

This Agreement will take effect when a User visits the Site or when PinkBridge grants User access to the Services, and will remain in effect until terminated as per the terms herein. PinkBridge has the right to terminate this Agreement with a User if they violate any of its Terms and Conditions, and such termination will be effective upon notice from PinkBridge. Users can terminate this Agreement at any time by discontinuing their use of the Services. If this Agreement is terminated for any reason, the User’s right to use the Services will cease. However, the terms and provisions of this Agreement, except for the right to use the Services, will continue to be in effect following termination. Termination of this Agreement will not release either party from any obligation accrued before the termination date.

Confidential Information

“Confidential Information” means non-public information about the Services, Content and software disclosed by PinkBridge under this Agreement that is identified as confidential or is reasonably expected to be confidential. Confidential Information does not include your own health information, publicly available information, information that was in your possession and was not obtained from PinkBridge, information disclosed by a third party not obliged by non-disclosure, or information you developed independently. You agree not to disclose PinkBridge’s Confidential Information to anyone or to use it for any reason except as permitted by this Agreement, unless disclosure is required by law.
